Agreement
By using the Novell website ("Site") or engaging our services, you agree to these terms. If you don't agree, please don't use the Site or our services.
Our services
Novell provides website design, development, SEO, digital setup, and ongoing maintenance services for businesses. The specific scope, deliverables, timeline, and pricing for any project are defined in a separate project proposal or agreement between us and the client.
Ownership
- Your content — you retain full ownership of all content you provide (text, images, logos, brand materials).
- Deliverables — upon final payment, you own all custom code, design files, and content we create for your project. This includes the website, its source code, and all associated assets.
- Our tools — we retain ownership of our internal tools, frameworks, and processes used to deliver your project. These are not part of the deliverables.
- Portfolio rights — we may display completed work in our portfolio and case studies unless you request otherwise in writing.
Payment
- Project pricing is fixed and agreed upon before work begins.
- Monthly payment plans are available for projects over $1,500.
- Ownership of deliverables transfers at final payment, not at launch.
- Ongoing care (retainer) services are billed monthly and can be cancelled with 30 days notice.
- We do not issue refunds for completed work. If a project is cancelled mid-progress, payment is due for work completed to that point.
Client responsibilities
For us to deliver on time, we need you to:
- Provide content, feedback, and approvals within agreed timelines.
- Ensure you have the right to use any content you provide (logos, photos, copy).
- Respond to review requests within a reasonable timeframe.
- Not share portal access credentials with unauthorized parties.
Project changes
- Scope changes after kickoff may affect timeline and cost.
- We will communicate any impact before proceeding with changes.
- Minor adjustments during the review phase are included. Structural changes (new pages, new features, redesigns) are scoped separately.
Website use
When using this Site, you agree not to:
- Submit false or misleading information through our contact form.
- Attempt to access systems, data, or accounts you're not authorized to use.
- Use automated tools to scrape, crawl, or extract data from the Site beyond what is permitted in our robots.txt.
- Transmit malicious code, spam, or harmful content.
Limitation of liability
We build things carefully, but no website is perfect. To the maximum extent permitted by law:
- Our liability is limited to the amount you paid us for the specific service in question.
- We are not liable for indirect, incidental, or consequential damages (lost revenue, lost data, business interruption).
- We are not responsible for third-party services (hosting providers, payment processors, email services) or their outages, policies, or data practices.
Warranties
- We warrant that work will be performed with professional care and skill.
- We do not guarantee specific search engine rankings, traffic levels, or revenue outcomes.
- Websites are delivered "as built" — we will fix bugs identified within 30 days of launch at no additional cost.
Termination
- Either party can end a project or retainer with 30 days written notice.
- Upon termination, payment is due for all work completed.
- We will provide all deliverables and access credentials within 14 days of final payment.
- We do not hold websites, domains, or content hostage. If you leave, you take everything you've paid for.
Governing law
These terms are governed by the laws of the State of North Carolina. Any disputes will be resolved in the courts of Wake County, North Carolina.
Changes to these terms
We may update these terms as our business evolves. Material changes will be posted here with an updated date. Continued use of the Site after changes constitutes acceptance.
